The following terms apply to all wholesale, bulk, foodservice, distributor, and reseller purchases made from Lovetta Chocolate (“Wholesale Customers”), whether purchases are made through this website, invoice, direct order, or any other sales channel.
Authorized Sales Channels
Wholesale Customers are authorized to sell Lovetta Chocolate products only through their own physical retail locations, cafés, bakeries, dessert shops, foodservice establishments, or their own branded websites, unless expressly approved in writing by Lovetta Chocolate.
Prohibited Third-Party Marketplaces
Wholesale Customers are strictly prohibited from listing, advertising, selling, or distributing Lovetta Chocolate products on third-party marketplaces, including but not limited to:
Amazon
Walmart
eBay
Etsy
TikTok Shop
Facebook Marketplace
Any other online marketplace or auction platform
Written authorization from Lovetta Chocolate is required for any exception. Unauthorized marketplace sales may result in immediate termination of wholesale privileges without notice.
Price Confidentiality & Non-Disclosure
Wholesale pricing, discounts, and terms are confidential and intended solely for the approved Wholesale Customer.
Wholesale Customers may not share, disclose, publish, advertise, or distribute wholesale pricing to any third party, including other businesses, competitors, or individuals.
No Price Undercutting or Misrepresentation
Wholesale Customers may not misrepresent Lovetta Chocolate products, branding, origin, ingredients, or pricing. Any action that harms the Lovetta Chocolate brand, pricing structure, or reputation is strictly prohibited.
Enforcement & Remedies
Lovetta Chocolate reserves the right to:
Monitor online marketplaces and sales channels
Issue cease-and-desist notices
Cancel or refuse future orders
Immediately terminate wholesale access
Take legal action where necessary
Violation of these Wholesale Terms constitutes a material breach of these Terms of Service.
No Transfer of Rights
Wholesale purchasing privileges are non-transferable. Products may not be purchased on behalf of, or resold to, another reseller, distributor, or third party without written approval from Lovetta Chocolate.
